Marvell Technology has signed a definitive agreement to acquire Lumentum, an optical chip and networking equipment manufacturer. The all-stock transaction carries an enterprise value of $115 billion, including assumed debt, and an equity value of approximately $80 billion. This move places the acquisition among the largest in the history of the technology sector.
Valuation and Exchange Ratio
Under the terms of the agreement, Marvell will issue 4.5 shares of its common stock for every share of Lumentum held by current investors. The deal structure relies entirely on equity, avoiding the use of cash or debt financing for the purchase price itself. The combined entity will operate as a single organization focused on high-performance computing infrastructure.
The scale of the transaction exceeds several previous major technology acquisitions. For comparison, Microsoft acquired Activision Blizzard for $68.7 billion in 2022, and Dell purchased EMC Corporation for $67 billion in 2016. The Marvell Lumentum deal significantly surpasses these historical benchmarks in total enterprise value.

Nvidia’s Dual Investment
A notable feature of this transaction is the overlapping investment interest from Nvidia. The graphics processing unit giant has established financial ties with both companies within the last year. In March, Nvidia invested $2 billion to support Lumentum’s research and development efforts and its fabrication plant expansion. This investment accompanied a multi-year agreement for Nvidia to purchase advanced laser components from Lumentum.
Later in the same month, Nvidia announced a separate $2 billion investment in Marvell. This capital injection was designated to strengthen Marvell’s optical networking and chip portfolio. The dual backing from Nvidia highlights the strategic importance of optical interconnects in the current artificial intelligence hardware landscape.

Strategic Integration and Timeline
Marvell stated that the acquisition will position the combined company as a leader in AI connectivity. The new entity will offer a broader range of products spanning individual chips to complete data center solutions. This integration aims to address the growing demand for high-speed data transfer in AI workloads.
The transaction is subject to approval from shareholders of both companies and regulatory bodies. If all conditions are met, the deal is expected to close in the first half of calendar year 2028. This extended timeline allows for thorough regulatory review and operational planning before the merger is finalized.
