Lufthansa Signs $1.2 Billion Deal for TAP Air Portugal Stake

Lufthansa Group and the Portuguese government have officially signed an agreement for the German aviation giant to acquire a 44.9% stake in TAP Air Portugal. The transaction, valued at €1.025 billion or approximately $1.2 billion, was finalized at Lisbon Airport earlier today. This move follows a competitive selection process that concluded nearly three weeks ago, with Portugal choosing Lufthansa over rival bidder Air France-KLM.

    Financial Offer Beats Strategic Fit

Portugal revealed that Lufthansa’s proposal was up to 16% higher than the offer from the Franco-Dutch group. Both bidders had improved their proposals during final negotiations, and their strategic commitments had become broadly comparable. Prime Minister Luís Montenegro described Lufthansa as “the choice that best protected Portugal’s national interests.” The financial advantage proved decisive in a contest where Air France-KLM was initially viewed by many experts as the more complementary partner due to its hubs in Paris and Amsterdam.

Lufthansa is funding the acquisition entirely from existing liquidity. The group has the option to increase its holding to 49.9% by purchasing shares initially reserved for TAP employees. This potential expansion could lift the total consideration to €1.2 billion. Portugal will initially retain majority ownership, and the transaction remains subject to regulatory approval from the European Commission before completion.

    Expanding Latin American Reach

The acquisition represents a significant expansion of Lufthansa’s European airline consolidation strategy. Lisbon will become the group’s seventh hub, with plans for further growth across Portuguese-speaking Africa and North America. Lufthansa CEO Carsten Spohr emphasized that the airlines’ networks are complementary, particularly in South America and Brazil.

The group estimates its share of Europe, Latin America traffic at approximately 9%. With TAP included, that figure rises to a calculated 20%. Lisbon’s established connections to Brazil offer access to markets where Lufthansa’s existing network is comparatively limited. This expansion helps the group compete more effectively with IAG and Air France-KLM in the transatlantic market.

Lufthansa expects up to €450 million in synergies from the deal. Most of these savings are potentially achievable before the group acquires majority ownership. The agreement includes commitments to maintain TAP’s Portuguese identity, strengthen regional connectivity, and expand investment in Portugal. The government has outlined potential fleet growth to 130 aircraft, while Lufthansa Technik’s new facility near Porto should help increase the group’s Portuguese workforce to more than 1,000 by 2030.

“Together with TAP’s employees, we want to continue the airline’s success story, preserve its Portuguese identity, and develop Lisbon into a Lufthansa Group hub.”

    Replicating Iberia’s Success

The $1.2 billion investment is more than three times what Lufthansa paid for 41% of ITA back in 2025. The group hopes to replicate the success of IAG and the transformation of Iberia following its 2011 merger with British Airways. After restructuring, Iberia developed into one of Europe’s most profitable airlines, recording a 16.2% operating margin and €1.31 billion in operating profit in 2025. Its Europe, Latin America and Caribbean capacity reached a record 5.5 million seats.

Lufthansa’s experience integrating SWISS, Austrian Airlines, Brussels Airlines, and ITA Airways provides a potential advantage. Its multi-brand model allows carriers to retain their identities while sharing commercial and operational resources. However, TAP’s minority ownership structure presents challenges. Lufthansa must deliver substantial synergies without initially enjoying the control associated with its other acquisitions. With TAP also facing profitability pressures, the investment is a significant bet that its valuable Brazilian network can deliver an Iberia-style transformation.
